TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your use of the website, services, and deliverables provided by Rusticus Films, LLC (“Company,” “we,” “us,” or “our”). By accessing our website, booking a service, signing a proposal, or engaging with our video production services, you agree to be bound by these Terms.

If you do not agree, you must not use our website or services.

1. SERVICES PROVIDED

Rusticus Films, LLC provides:

  • Video production

  • Editing

  • Marketing content creation

  • Visual media strategy

  • AI-enhanced video tools (when applicable)

All services are provided as described in your proposal, invoice, or project agreement.

We reserve the right to refuse service for any reason.

2. DEPOSITS & PAYMENT TERMS

2.1 Deposits

A non-refundable deposit (typically 50%, unless stated otherwise) is required to secure your project date and begin work.

2.2 Final Payment

Final payment is due:

  • Upon completion of the project before final deliverables are released, OR

  • According to the payment schedule stated in your agreement.

2.3 Late Payment

Outstanding invoices may incur:

  • Late fees

  • Project delays

  • Withholding of deliverables

  • Termination of services

You agree to pay all fees associated with debt collection if necessary.

3. CANCELLATION, RESCHEDULING & REFUNDS

3.1 Cancellations

All deposits are non-refundable.

If you cancel within 48 hours of the scheduled shoot, you may be responsible for additional fees, including crew, travel, and location costs.

3.2 Rescheduling

We allow one complimentary reschedule with at least 72 hours’ notice. Additional reschedules may incur fees.

3.3 No Refunds on Delivered Work

Because creative services are time-based and subjective, all completed or partially completed work is non-refundable.

4. CLIENT RESPONSIBILITIES

You agree to:

  • Provide accurate information

  • Be available for communication

  • Obtain permissions for filming locations

  • Ensure subjects and participants are informed

  • Supply branding assets, scripts, or requested materials

You are responsible for any delays caused by missing information or lack of cooperation.

5. INTELLECTUAL PROPERTY & USAGE RIGHTS

5.1 Ownership

Unless otherwise agreed in writing:

  • Rusticus Films, LLC retains full copyright and ownership of all raw footage, project files, audio files, and edits.

  • Clients receive a license to use the final delivered video(s) for the intended purpose (marketing, social media, internal training, etc.).

5.2 Deliverables

Only final rendered video files are delivered.
RAW files, project files, and unused footage remain property of the Company unless purchased separately.

5.3 Usage Restrictions

You may NOT:

  • Sell, sublicense, or transfer the content to third parties

  • Claim authorship

  • Alter the content in a way that misrepresents us

We reserve the right to use any footage for portfolio, marketing, and promotional purposes unless a written confidentiality agreement is signed.

6. REVISIONS & APPROVALS

6.1 Revision Rounds

Your project includes a set number of revisions as stated in your proposal. Additional revisions or changes beyond the original scope may incur additional fees.

6.2 Approval Process

Once you approve a deliverable:

  • It is considered final

  • Additional edits will require a new agreement or amendment

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • We are NOT liable for indirect, incidental, or consequential damages

  • We do NOT guarantee specific results, revenue, or performance outcomes

  • Our maximum liability shall not exceed the total amount you paid for the services

You agree to indemnify and hold Rusticus Films, LLC harmless from claims arising from:

  • Your misuse of content

  • Improper licensing by you

  • Failure to obtain permissions

  • Defamation or copyright violations related to materials you provide

8. AI, AUTOMATION & VOICE SYSTEMS (IF APPLICABLE)

If Rusticus Films, LLC provides AI-based tools (chatbots, voice agents, auto-editing, etc.):

  • You acknowledge these tools may have limitations

  • You are responsible for reviewing output

  • We are not responsible for errors, misinterpretations, or system downtime

  • You agree not to use AI systems in unlawful ways (spam, harassment, unverified claims, etc.)

9. CONFIDENTIALITY

We will not share confidential information you provide, unless required by law.
You agree not to disclose our proprietary methods, pricing, scripts, or internal processes.

10. TERMINATION

We may terminate a project at any time if:

  • Payment is not made

  • You act in an abusive or disrespectful manner

  • You violate these Terms

  • Circumstances prevent the project from continuing

In such cases, no refunds are provided.

11. DISPUTE RESOLUTION

Any disputes arising from these Terms or your project with Rusticus Films, LLC shall be resolved through:

  1. Good-faith negotiation, and if unsuccessful,

  2. Mediation or arbitration in the State of Georgia.

You agree that Rusticus Films, LLC is the sole legal entity involved in all agreements, regardless of the public brand name displayed (including FunnelTac).

12. GOVERNING LAW

These Terms are governed by and interpreted according to the laws of the State of Georgia, without regard to conflict of law principles.
